The Valence Group to be acquired by Piper Sandler Companies

The Valence Group today announces that its shareholders have entered into a definitive agreement providing for the acquisition of The Valence Group by Piper Sandler Companies (NYSE: PIPR).  The terms of the transaction have not been disclosed.

Peter Hall, co-founder of The Valence Group, commented, “We and the entire Valence Group team are proud of the position we have established as the global market leader in M&A advice to the chemicals and materials industry.  M&A is also Piper Sandler’s core activity and, critically, they share our absolute commitment to delivering to our clients the highest quality advice based first and foremost on deep sector expertise. This highly complementary combination will enable us to maintain our differentiated, sector-based approach to idea generation, client servicing and transaction execution. It represents a unique opportunity to partner with a like-minded, high-growth, advisory-centric investment banking firm in which The Valence Group will represent a meaningful part of the combined activity and growth”.

Telly Zachariades, co-founder of The Valence Group, said, “Our priority since the formation of The Valence Group has been to build a truly collaborative culture in order to fully leverage the collective capabilities, expertise and insights of the most talented professionals in our sector.  We firmly believe that this approach enables us to deliver to our clients the most well-rounded and insightful advice and perspective. Whilst many firms pay lip service to such a culture, few have actually achieved it – Piper Sandler is one of those very few.  We and our team are excited about the collaboration with our new partners, and the acceleration in the growth of our chemicals and materials franchise that Piper Sandler will help to bring about under our continued leadership, not only in the US and Europe but throughout the world”.

Kirk McIntosh, co-founder of The Valence Group, commented, “The Valence Group team is remaining entirely intact and all of our senior team members will continue to be totally committed to our business. The Valence Group will form Piper Sandler’s new chemicals group, with our business model and approach to transaction origination and execution remaining unchanged. Hence, for our clients, this new partnership will be entirely seamless – they will continue to benefit from exactly the same level of service and attention, delivered in the same manner, for which The Valence Group has become world-renowned”.

Ariel Levin, co-founder of The Valence Group, said, “Our clients in the chemicals and materials sectors are increasingly confronted with fundamental strategic realignment opportunities and challenges throughout their value chains. This combination with Piper Sandler enables us to deliver to our clients the deep sector insight that our new partners at Piper Sandler have established in many directly relevant adjacencies such as energy, diversified industrials and agriculture. Piper Sandler has an exemplary track record of not only successfully acquiring industry-specialist advisory firms such as The Valence Group but also of supporting their continued growth and expansion for the benefit of clients”.

The transaction is expected to close in the second quarter of 2020 and is subject to obtaining required regulatory approvals and other customary closing conditions.

Houlihan Lokey served as financial advisor and Dentons as legal advisor to The Valence Group in connection with the transaction.
